Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 6, 2008, G. Robert Powell, Vice President and Controller of PG&E Corporation and Vice President, Chief Financial Officer and Controller of Pacific Gas and Electric Company (Utility), resigned from his positions at PG&E Corporation and the Utility.  Mr. Powell is entitled to receive severance benefits subject to the terms of the PG&E Corporation Officer Severance Policy which has previously been filed with the Securities and Exchange Commission.

Christopher P. Johns, Senior Vice President, Chief Financial Officer and Treasurer of PG&E Corporation and Senior Vice President and Treasurer of the Utility, will perform the duties of principal accounting officer for both PG&E Corporation and the Utility.  Mr. Powell’s successor as Chief Financial Officer of the Utility will be elected by the Utility’s Board of Directors in the future.
