	The persons filing this report are Austin W. Marxe (?Marxe?),
David M. Greenhouse (?Greenhouse?) and Adam C. Stettner (?Stettner?), who are
members of SSCayman LLC (?SSCay?), the general partner of Special Situations
Cayman Fund, L.P. (?Cayman?).  Marxe, Greenhouse and Stettner are controlling
principals of AWM Investment Company, Inc. (?AWM?), the general partner of
MGP Advisers Limited Partnership (?MGP?), the general partner of Special
Situations Fund III QP, L.P. (?SSFQP?).  Marxe, Greenhouse and Stettner are
members of SST Advisers L.L.C. (?SST?), the general partner of Special
Situations Technology Fund, L.P. (?TECH?) and Special Situations Technology
Fund II, L.P. (?TECH II?). Marxe, Greenhouse and Stettner are members of MG
Advisers L.L.C. (?MG?), the general partner of Special Situations Private
Equity Fund, L.P. (?SSPE?).  AWM serves as the investment adviser to Cayman,
SSFQP, TECH, TECH II and SSPE. The principal business of each Fund is to
invest in equity and equity-related securities and other securities of any
kind or nature.

	 (a) Amount Beneficially Owned:  Messrs. Marxe, Greenhouse and Stettner
beneficially own a total of 1,390,000 shares of Common Stock and 1,229,104
Warrants. This amount includes 94,004 Common Shares and 245,821 Warrants
owned by SSPE, 110,104 Common Shares and 157,325 Warrants owned by TECH,
649,108 Common Shares and 825,958 Warrants owned by Tech II, 131,808 Common
Shares owned by Cayman and 404,976 Common Shares owned by SSFQP

	(b) Percent of Class:  Messrs. Marxe, Greenhouse and Stettner
beneficially own 2.7% of the outstanding shares, of which SSPE owns 0.4% of
the outstanding shares, TECH owns 0.3% of the outstanding shares, Tech II
owns 1.5% of the outstanding shares, Cayman owns 0.1% of the outstanding
shares and SSFQP owns 0.4% of the outstanding shares.
