ITEM 2.02 RESULTS OF OPERATION AND FINANCIAL CONDITION

On February 6, 2007, Heritage Commerce Corp issued a press release announcing preliminary results for the year ended December 31, 2006. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.

ITEM 8.01 OTHER EVENT

On February 6, 2007, Heritage Commerce Corp declared a $0.06 per share quarterly cash dividend. The dividend will be paid on March 15, 2007 to shareholders of record on February 22, 2007. A copy of the press release is attached as Exhibit 99.2 to this Form 8-K and is incorporated herein by reference.
