Item 5. OTHER EVENTS AND REGULATION FD DISCLOSURE.
On September 9, 2002, IDACORP, Inc. issued a press release
disclosing matters related to the winding down of the power marketing
operations of its subsidiary IDACORP Energy.
A copy of the press release is filed as an exhibit hereto and is
incorporated by reference herein.
