Item 8.01. Other Events.
The Board of Directors of Guaranty Bancshares, Inc. (“Guaranty”) approved a stock repurchase program, which authorizes Guaranty to repurchase up to 500,000 shares of Guaranty’s outstanding common stock from time to time, subject to certain conditions. The stock repurchase program will be effective for a 24-month period commencing on June 18, 2018, unless shortened or extended by the board of directors. The stock repurchase program does not obligate Guaranty to repurchase any specified number of shares of its common stock. The shares may be purchased in open market or negotiated transactions. Open market repurchases will be conducted in accordance with the limitations set forth in Rule 10b-18 of the Securities and Exchange and Commission and other applicable legal requirements. The number, price and timing of the repurchases, if any, will be at management’s sole discretion and will depend on a number of factors, including compliance with applicable laws and regulations, general market and economic conditions, the financial and regulatory condition of Guaranty, liquidity needs, and other factors. There is no assurance that Guaranty will repurchase any shares under the program. A copy of Guaranty’s press release, announcing the stock repurchase program, is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
