On October 2, 2008, Microchip Technology Incorporated (“Microchip”) and ON Semiconductor Corporation (“ON Semiconductor”) issued a joint press release announcing a proposal to acquire Atmel Corporation (“Atmel”). The press release announcing the proposal, including the full text of the proposal letter delivered to Atmel, is attached as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
