ITEM 7.01 Regulation FD Disclosure
On May 5, 2009, the Registrant held its 2009 Annual Meeting of Shareholders. At the Annual Meeting, Thomas A. Ritter, President & Chief Executive Officer of the Registrant, as well as other members of management, made a slide presentation which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
In addition, at the Registrant’s Annual Meeting, the shareholders elected four Class 2 Directors, approved and adopted the amendment to the Articles of Incorporation of ACNB Corporation to authorize preferred stock, approved and ratified the ACNB Corporation 2009 Restricted Stock Plan, and ratified the selection of Beard Miller Company, LLP as ACNB Corporation’s independent auditors, as more fully described in the attached press release as of May 7, 2009. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference. The information furnished under this Item 7.01 of this Current Report on Form 8-K shall not be deemed to be filed for purposes of the Securities Exchange Act of 1934.
