Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 7, 2014, Mary L. Petrovich, a member of the Board of Directors of Modine Manufacturing Company (the “Company”) resigned from the Board due to medical reasons that prevented her continuing service.  Her resignation was effective immediately.  Ms. Petrovich’s resignation was not due to any disagreements with the Company.

A press release, dated January 8, 2014, disclosing the resignation of Ms. Petrovich as a director of the Company is attached as Exhibit 99.1 and is furnished herewith.
