Item 1.01 Entry into a Material Definitive Agreement.
 

On January 19, 2007, Alteon Inc., a Delaware corporation (“we,” “us” or the “Company”) entered into a Lease Agreement (the “Lease”) with DS Montvale, LLC, a New Jersey limited liability company (the “Landlord”), in connection with a lease of the premises located at 221 West Grand Avenue, Montvale, NJ 07645 (the “Premises”). The Lease is for a term of 3 years commencing after the completion of certain work done on the Premises by the Landlord as further described in the Lease. The basic monthly rent will be approximately $7,600, together with a security deposit of approximately $15,200. Provided there is no default, we will have the opportunity to extend the lease for 2 additional 3 year terms by providing written notice to the Landlord.

The preceding description of the Lease is qualified in its entirety by reference to the agreement, a copy of which is attached as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
