(1) Represents a gift by a family trust for the benefit of the reporting person and her children, of which the reporting person is trustee and a beneficiary.
(2) Represents shares owned by a family trust of which the reporting person is trustee and a beneficiary. The reporting person is also the indirect beneficial owner of 1,100,757 shares owned by a family limited partnership in which the reporting person is a general partner as of February 12, 2006. See Footnote (3) below for a discussion of the January 17, 2006 transfer of shares from the family trust to the family limited partnership.
(3) Excludes 274,099 shares previously held in the family trust of which the reporting person is trustee and a beneficiary which were transferred to a family limited partnership in which the reporting person is a general partner on January 17, 2006.
