Item 5.04. Temporary Suspension of Trading Under Registrant's Employee Benefit Plans
On May 21, 2009, The Gap, Inc. (the "Company") sent a notice to its directors and executive officers informing them of a proposed blackout period (the "Blackout Period") under the Company's GapShare 401(k) Plan (the "401(k) Plan"). The notice advises the Company's directors and executive officers of the applicable trading restrictions that apply to them under Section 306 of the Sarbanes-Oxley Act of 2002 and the Securities and Exchange Commission's Regulation BTR. A copy of the notice is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.The Blackout Period is required in order to effect a transition of the administration of the 401(k) Plan to a new service provider, and is expected to last from June 15, 2009, until July 10, 2009. During the Blackout Period, participants in the 401(k) Plan will be temporarily unable to effect certain transactions, including investment exchanges into or out of the Gap Stock fund in the 401(k) Plan, access to 401(k) Plan loans, withdrawals and distributions from the 401(k) Plan.
During the Blackout Period and for a period of two years after the ending date of the Blackout Period, security holders or other interested persons may obtain, without charge, information about the actual beginning and ending dates of the Blackout Period by contacting David Jedrzejek at The Gap, Inc., Two Folsom Street, San Francisco, CA 94105, or at (415) 427-2929, to whom all inquiries regarding the Blackout Period should be directed.
