(1)	Exchange of shares of AMC Networks Inc. Class A Common Stock (the "Class A Common Stock") for shares of AMC Networks Inc. Class B Common Stock (the "Class B Common Stock").
(2)	Class B Common Stock of the Issuer is convertible at the option of the holder on a share for share basis into Class A Common Stock of the Issuer.
(3)	Shares of Class A Common Stock owned by the Reporting Person's child. The Reporting Person disclaims beneficial ownership of all shares of AMC beneficially owned or deemed to be beneficially owned by her child and this filing shall not be deemed an admission that the Reporting Person is, for the purposes of Section 16 or for any other purpose, the beneficial owner of such securities.
(4)	Shares of Class A Common Stock owned by the Reporting Person's spouse.
