(1) Gift.
(2) AMC Networks Inc. Class B Common Stock (the "Class B Common Stock") of the Issuer is convertible at the option of the holder on a share for share basis into AMC Networks Inc. Class A Common Stock (the "Class A Common Stock") of the Issuer.
(3) Shares held directly by Deborah A. Dolan-Sweeney and indirectly by her spouse, Brian G. Sweeney. Mr. Sweeney disclaims beneficial ownership of these securities and this report shall not be deemed to be an admission that he is, for the purposes of Section 16 or for any other purpose, the beneficial owner of such securities.
(4) Brian G. Sweeney is the trustee of the Deborah A. Dolan-Sweeney 2012 Descendants Trust. The reporting persons disclaim beneficial ownership of these securities and this report shall not be deemed to be an admission that they are, for the purposes of Section 16 or for any other purpose, the beneficial owners of such securities.
