Item 1.01 Entry into a Material Definitive Agreement
On September 30, 2004, The Gap, Inc. (the Company) entered into an employment agreement with Gary Muto as President of the Companys new fourth brand. Under the agreement, the Company will pay Mr. Muto an annual salary of $850,000, with an annual bonus potential of 0-140% of Mr. Mutos base salary. Mr. Muto will also receive up to $220,000 in relocation bonus payments paid over two years. If the Company terminates Mr. Mutos employment involuntarily, without cause before September 15, 2007, Mr. Muto will receive income continuation for 12-18 months. The agreement is attached hereto as Exhibit 10.1 under Item 9.01.
