Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On November 15, 2004, Alabama National BanCorporation (the Company) accepted the resignation of Victor E. Nichol, Jr. as Vice Chairman and as a director of the Company. To the knowledge of the Companys executive officers, Mr. Nichols resignation was not due to any disagreement with the Company on any matter relating to the Companys operations, policies or practices.
