WA, pursuant to acting as an investment adviser to its client, Guggenheim Portfolio Co. XXXI LLC, is deemed to be the beneficial owner of 62,500 shares of Common Stock issuable upon conversion of the Company’s 4% Convertible Subordinated Notes due 2007.

 

WCAP beneficially owns 15,625 shares of Common Stock issuable upon conversion of the Company’s 4% Convertible Subordinated Notes due 2007.

 

WDCAP beneficially owns 546,500 shares of Common Stock issuable upon conversion of the Company’s 4% Convertible Subordinated Notes due 2007.

 

As a result of the relationship described in this statement, each of WA, AJR, WCAA, WDCAA, WCAFLP, WDCAFLP, WCAFLTD and WDCAFLTD may be deemed to possess indirect beneficial ownership of the shares of Common Stock beneficially owned by each of WCAP, and WDCAP. WA, AJR, WCAA, WDCAA, WCAFLP, WDCAFLP, WCAFLTD and WDCAFLTD each disclaim indirect beneficial ownership of the shares of Common Stock except to the extent of their pecuniary interest in such shares.
