This Amendment No. 1 amends and supplements the Tender Offer Statement on Schedule TO (the Schedule TO) filed by The Gap, Inc., a Delaware corporation (Gap Inc. or the Company), with the Securities and Exchange Commission on November 23, 2005 to exchange (the Exchange Offer) options to purchase an aggregate of 1,969,650 shares of the Companys common stock, whether vested or unvested, that have been granted under its 1996 Stock Option and Award Plan, as amended and restated, and its 2002 Stock Option Plan, as amended and restated (formerly known as Stock Up On Success, The Gap, Inc.s Stock Option Bonus Program) (the eligible options) and that are held by eligible employees. These eligible options may be exchanged for new options that will be granted under the Companys 1996 Stock Option and Award Plan (the new options) and, depending upon the terms of the eligible options, for cash payments, upon the terms and subject to the conditions set forth in (i) the Offer to Exchange Certain Outstanding Options for New Options and Cash Payments, dated November 23, 2005 and amended as of December 13, 2005 (the Offer to Exchange), (ii) the related letter from Ken Kennedy, dated November 23, 2005; (iii) the Election Form; and (iv) the Withdrawal Form. An eligible employee refers to an employee of Gap Inc. or one of its subsidiaries who holds eligible options, and remains an employee through the date on which the new options are granted. The number of shares, aggregate value, and filing fee have been reduced in this amendment by 750, $4,485, and $0.53, respectively, to account for a terminated employee who was inadvertently included in the original Schedule TO. In addition, changes were made to pages 5, 22, and 23 to reflect the removal of this terminated employee.
This Amendment No. 1 reflects an amendment which was made to the cover page of the Offer to Exchange to confirm that the Company will update the Offer to Exchange to amend it if there is a material change in the information presented and will disseminate any such change to eligible employees in the manner and at such time as required by applicable securities laws.
This Amendment No. 1 also reflects amendments that were made to the Offer to Exchange on pages 13, 33, 39, 40, and B-1 to reflect updated financial information pursuant to the Companys most recent 10-Q, filed on December 2, 2005
