PART III NARRATIVE
State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
The Company requires additional time to complete its final validation of its consolidated statements of cash flows. In addition, the Company continues to finalize its evaluation of its overall internal control environment for purposes of preparing managements assessment of internal control over financial reporting. As a result, management is unable, without unreasonable effort or expense, to file its 2005 Form 10-K on or before March 16, 2006. Management expects to file the 2005 Form 10-K on or before March 31, 2006. As the Company completes its evaluation of its internal control over financial reporting, control deficiencies may be identified. Any such deficiencies would require assessment under the framework of Section 404 of the Sarbanes-Oxley Act of 2002, and could be deemed significant deficiencies or material weaknesses in the Companys internal control environment.
