(Attach Extra Sheets if Needed)

The Registrant’s Annual Report on Form 10-K could not be filed on or before the prescribed due date, March 16, 2007, without unreasonable effort and expense, as a result of delays experienced in preparing its financial statements and related narrative disclosures for inclusion in Form 10-K. These delays relate primarily to additional work required by the Registrant resulting from compliance with SEC rules which first became applicable to the Registrant as of the end of its 2006 fiscal year. Specifically, the Registrant is now required to provide disclosures relating to the effectiveness of its internal control over financial reporting as of December 31, 2006. The Registrant intends to complete its filing as soon as possible, but in no event later than fifteen days from the original due date for its 2006 Form 10-K.
