Item 5.01 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.
On August 3, 2007, the Company was notified that Mr. Arthur Wiener, a Director of the Company, passed away. Effective August 3, 2007, Mr. Peter Benstock stepped down as a director to allow the Company to continue to have a majority of independent directors as required by the rules of the American Stock Exchange. Mr. Benstock’s departure from the Board was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
