Sunoco, Inc.’s Annual Meeting of Shareholders will be held on Thursday, May 6, 2010 at Moore College of Art & Design, Stewart Auditorium, 20th Street and the Parkway, Philadelphia, PA, 19103, at 9:30 a.m. Eastern Time.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends that you vote FOR the following proposals:

Election of Directors: G.W. Edwards, L.L. Elsenhans, U.O. Fairbairn, R.B. Greco, J.P. Jones, III, J.G. Kaiser, J.W. Rowe, J.K. Wulff.

 

2.

Approval of the Sunoco, Inc. Senior Executive Incentive Plan.

 

3.

Approval of the Sunoco, Inc. Long-Term Performance Enhancement Plan III.

 

4.

Ratification of the appointment of Ernst & Young LLP as independent registered public accounting firm for fiscal year 2010.

Any other business properly presented at the meeting.
