Item 8.01 Other Events.
On July 26, 2010, SunTrust Banks, Inc. (the “Registrant”) announced that SunTrust Bank has commenced a cash tender offer (the “Tender Offer”) to purchase up to $750,000,000 aggregate principal amount of certain of its currently outstanding subordinated debt securities. A copy of the news release announcing the Tender Offer is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
