On August 18, 2011, NewStar Financial, Inc. (the Company) received notice from Natixis Financial Products LLC (NATIXIS) that NATIXIS elected to extend the revolving period under the Amended and Restated Secured Loan and Servicing Agreement, dated as of May 4, 2010, by and among NewStar Short-Term Funding LLC as the borrower, the Company as the originator and as the servicer, MMP-7 Funding, LLC as the lender, NATIXIS as the Administrative Agent, and U.S. Bank National Association as the trustee from August 23, 2011 to September 23, 2011.
The Company expects to enter into an agreement with NATIXIS to further extend the revolving period of the credit facility on or before September 23, 2011, and NATIXIS has the ability, in its discretion, to further extend the revolving period for any period of time up to May 19, 2012. If the Company and NATIXIS do not agree on terms to extend the revolving period on or before September 23, 2011, and NATIXIS does not otherwise elect to extend the revolving period, the Companys ability to make new borrowings under the facility will terminate. The facility did not have a balance on August 18, 2011.
