Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 7, 2011, James L.M. Chen, Executive Vice President, International Operations of Diebold, Incorporated (the Company), after discussions with the Company, provided notice of his intention to retire. It is anticipated that his retirement from the Company will become effective toward the end of the first quarter of 2012.
