Effective May 2, 2013, the board of directors (the “Board”) of QuinStreet, Inc. (the “Company”) appointed Robin Josephs as a class II director to hold office until the Company’s 2014 annual meeting of stockholders, or until her earlier resignation or removal. Ms. Josephs was also appointed a member of the Audit Committee and the Compensation Committee. As compensation for her service on the Board and committees, Ms. Josephs will receive the Company’s standard compensation for non-employee directors.
