The transaction with Allergan is about two great companies coming together to create a global biopharmaceutical leader with two best-in-class businesses that will be positioned to:

All companies, including Pfizer, must pay taxes on their income earned in the U.S., regardless of where they are incorporated. This transaction will not affect the tax rate that Pfizer pays on U.S.-based income. An inversion can change the tax rate paid on earnings generated outside of the U.S., which allows those earnings to be used for other company purposes. For example, with substantially improved access to cash, Pfizer will have greater financial flexibility that will facilitate our continued discovery and development of new innovative medicines for patients, direct return of capital to shareholders and investment in the U.S., while also enabling our pursuit of business development opportunities on a more competitive footing within our industry.
