SÃO PAULO, MAY 31, 2012 – GOL Linhas Aéreas Inteligentes S.A. (BM&FBovespa: GOLL4 and NYSE: GOL), (S&P: B+, Fitch: B+, Moody`s: B3), the largest low-fare, low-cost airline in Latin America, hereby announces, pursuant to CVM Instruction 381, that in the fiscal year ended December 31, 2011, its external auditors, Deloitte Touche Tohmatsu Auditores Independentes (“Deloitte”) provided additional auditing services worth R$1.1 million, equivalent to 24% of the total amount spent related to external auditing services in that year (R$4.5 million). These additional services refer to: i) the due diligence process associated with the acquisition of Webjet in August 2011, which we concluded in the following month, engaged in July 10 (R$490,000), equivalent to 11% of the total amount spent on external auditing services in that year; ii) the issue comfort letters for the period offerings, engaged in August 29 to the conclusion of the operation in September 30, 2011 (R$423,000) equivalent to 10% of the total amount spent on external auditing services in that year and iii) services related to elaboration of sustainability report in 2011, engaged in November 29, 2010, to September 16, 2011  (R$155,000), equivalent to 3% of the total amount spent on external auditing services in that year.

The Company's policy when contracting the additional services is grounded in principles that preserve the auditor’s independence. In accordance with internationally-accepted standards, these precepts are:  (a) the auditors shall not audit their own work; (b) the auditors shall not occupy a managerial position in their client’s company; and (c) the auditors shall not legally represent the interests of their clients.

u  Webjet Linhas Aéreas S.A., controlled by VRG Linhas Aéreas S.A., offers around 136 daily flights to 18 Brazilian destinations, using a fleet of Boeing 737-300 and 737-800 Next Generation aircraft.
