275th MEETING OF THE BOARD OF DIRECTORS
CPFL Energia S.A. informs its shareholders and the market in general, that at the 275th Meeting of the Board of Directors held on August 05, 2015 the following matters were resolved:
I. Consideration of Interim Financial Statements (Quarterly Information form - ITR) for the second quarter of 2015;
II. Approval: Targets review of the Short Term Incentive Plan – ICP Plan of the 2015 Board of Executive Officers;
III. Approval and Vote Recommendation: 2nd Grant of Virtual Units of Value - UVVs related to the 2015/2021 Program of the Long Term Incentive Plan – 2014 – 2022 ILP Plan (CPFL Energia and Subsidiaries);
IV. Ratification: Acquisition of electric energy from conventional source by CPFL Brasil for the period from January 1, 2016 to December 31, 2018;
V. Approval: Fund-raising by CPFL Energia and constitution of Advance for Future Capital Increase (AFAC) in Subsidiaries; and
VI. Other matters unrelated to CVM Instruction 358/2002, as amended.
