Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On February 19, 2016, Escalon Medical Corp. (the "Company") received a letter from the Listing Qualifications Staff of the NASDAQ Stock Market (the "Staff") notifying the Company that it did not comply with the minimum $2,500,000 stockholders’ equity requirement for continued listing on the NASDAQ Capital Market as set forth in Listing Rule 5550(b). As of December 31, 2015, the Company reported stockholders’ equity of $2,453,354. The Company has 45 calendar days from February 19, 2016 to submit a plan to regain compliance with this continued listing criterion. The Company intends to timely submit such a plan. If the Company’s plan is accepted, NASDAQ can grant an extension of up to 180 calendar days from February 19, 2016 to evidence the Company’s compliance. If NASDAQ does not accept the Company’s plan, the Company will have the opportunity to appeal that decision to a NASDAQ Hearings Panel.
