Item 8.01. Other Events.
On May 10, 2018, Finjan Holdings, Inc. (“Finjan” or the “Company”) announced that Finjan’s Board of Directors authorized a share repurchase program under which up to $10,000,000 of its outstanding common shares may be acquired (the “Share Repurchase Program”). The shares may be purchased from time to time at prevailing market prices, through open market or privately negotiated transactions, depending on market conditions. The Share Repurchase Program does not obligate the Company to purchase any shares and no time limit was set for the completion of the Share Repurchase Program. The Share Repurchase Program may be modified or suspended at any time at the Company’s discretion.
