(2) | On December 17, 2014, the Compensation Committee of the Company approved the grant of stock options, at an exercise price of $96.45 per share, to members of its management team, including the Reporting Person. These stock option grants were approved subject to and contingent upon approval by the stockholders of the Company at its 2015 annual meeting of the Amended and Restated 2009 Stock Incentive Plan, to, among other things, increase the shares authorized for issuance thereunder. On May 1, 2015, the stockholders of the Company approved the Amended and Restated 2009 Stock Incentive Plan. |
