ITEM 8.01.  OTHER EVENTS

GM DELAYS FILING OF FORM 10-Q FOR THE 2004 THIRD QUARTER

DETROIT - General Motors Corp. (NYSE: GM) said today it would delay the filing
of its 2004 third quarter Form 10-Q with the U.S. Securities and Exchange
Commission. The company expects to file the results within the next several
days. The delay relates to how GM and its financial services subsidiary, GMAC,
account for the sale of certain mortgage assets. The change will have an
estimated effect on GM's consolidated financial statements of less than $0.01
earnings per share for the third quarter, and about a 1.5 percent increase in
GM's total assets as of Sept. 30, 2004.
