Other Events On March 8, 2004, Loews Corporation (the "Company") entered into an Underwriting Agreement with Citigroup Global Markets Inc. and Lehman Brothers Inc., for the issuance and sale by the Company of $300,000,000 aggregate principal amount of the Company's 5 1/4% Senior Notes due 2016 (the "Notes"). The Notes are being sold pursuant to an effective shelf registration statement. A copy of the underwriting agreement is filed as Exhibit 1.1. Item 7.
