Item 5.07. Submission of Matters to a Vote of Security Holders.
At the Noble Energy, Inc. (the "Company") annual meeting of stockholders on April 26, 2016, holders of an aggregate of 433,589,213 shares of the Company’s common stock at the close of business on February 26, 2016, were entitled to vote at the meeting, of which 394,559,463, or approximately 90.99% of the eligible voting shares, were represented in person or by proxy.
