11, 2007, Berry Petroleum Company (Company) issued a news release titled
"Berry Petroleum Completes Sale of West Montalvo Assets" regarding
the Company's sale of certain non-core West Montalvo assets, near
Ventura, California, to
Venoco,
Inc. (NYSE:VQ). The sales price based on a January 1, 2007 effective date
is $63 million cash, subject to customary adjustments. The
news
release dated May 11, 2007 is attached hereto as Exhibit 99.1, which is
incorporated by reference in its
entirety.
