Item 5. Other Events.

     On June 4, 2002, the President and Chief Executive Officer of Ventas, Inc.
("Ventas" or the "Company"), Debra A. Cafaro, made a presentation regarding the
Company at the National Association of Real Estate Investment Trusts (NAREIT)
Institutional Investor Forum in New York City. The presentation and accompanying
slides will be archived at the Ventas web site at for 30 days
following the presentation.
