OTHER EVENTS AND REQUIRED FD DISCLOSURE. On September 24, 2003, The Estee Lauder Companies Inc. entered into a firm commitment underwriting agreement with Citigroup Global Markets Inc., J.P. Morgan Securities Inc., Goldman, Sachs & Co., BNP Paribas Securities Corp. and Fleet Securities, Inc. to sell $200,000,000 of its 5.75% Senior Notes due 2033 (the "Notes") under a Registration Statement (File No. 333-104133) on Form S-3 declared effective on April 10, 2003. The transaction was completed on September 29, 2003, and the Notes were issued under the indenture previously executed between The Estee Lauder Companies Inc. and U.S. Bank Trust National Association, as successor in interest to State Street Bank and Trust Company, as trustee.
