ITEM 8.01 OTHER EVENTS.

On June 30, 2006, the Board of Directors of Berkshire Hills Bancorp, Inc.
(the "Company"), the holding company for Berkshire Bank, declared a quarterly
cash dividend of $0.14 per share. The dividend is payable on August 24, 2006 to
stockholders of record as of the close of business on August 10, 2006. A copy of
the press release announcing the stock dividend is included as Exhibit 99.1 and
incorporated herein by reference.
