Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.
On May 18, 2011, Tandy Leather Factory, Inc., a Delaware corporation (the “Company”), entered into a consultation agreement with J. Wray Thompson, Chairman of the Board of the Company, to be effective as of June 1, 2011 (the “Consultation Agreement”). The Consultation Agreement provides, among other things, that as compensation for Mr. Thompson’s service to the Board as Chairman from June 1, 2011 to May 31, 2011, the Company shall pay Mr. Thompson a total of $25,000, payable in equal installments over the term of the Consultation Agreement. In addition, Mr. Thompson will be eligible to participate in the Company’s medical plan.
The summary of the Consultation Agreement set forth in this Current Report on Form 8-K does not purport to be complete and is qualified in its entirety by reference to the text of the form of the Consultation Agreement attached hereto as Exhibit 10.1.

The Company’s annual meeting of stockholders was held on May 18, 2011. The three proposals considered at the annual meeting were voted on as follows:
