CELLCOM ISRAEL ANNOUNCES EXTENSION OF 2014 SHELF PROSPECTUS

 

Netanya, Israel – May 9, 2016 – Cellcom Israel Ltd. (NYSE: CEL) (TASE: CEL) (hereinafter: the "Company") announced that the Israeli Securities Authority extended the term of the Company's shelf prospectus filed in June 2014 by 12 months, until June 23, 2017. At this stage, no decision has been made as to the execution of any offering, nor as to its scope, terms and timing, if executed, and there is no certainty that such offering will be executed.

 

For additional details see the Company's most recent annual report for the year ended December 31, 2015 on Form 20-F, filed on March 21, 2016, under "Item 5. Operating and Financial Review and Prospects – B. Liquidity and Capital Resources – Debt Service –Shelf Prospectus".

 

Any offering under the said shelf prospectus may be made only in Israel and only to residents of Israel. Any securities which may be offered under the said shelf prospectus, if offered, will not be registered under the U.S. Securities Act of 1933 and will not be offered or sold in the United States.
