Prior to September 27, 2002, VII also was the direct beneficial owner of $500,000,000 aggregate principal amount of the Issuer's 6.15% Series A Convertible Subordinated Notes due 2010, and $475,281,000 aggregate principal amount of the Issuer's 6.15% Series B Convertible Subordinated Notes due 2010, all of which are convertible into shares of Class A Common Stock upon the satisfaction of certain conditions, which had not been satisfied at such time. VII sold all such Notes as of September 27, 2002. VII is the direct beneficial owner of $10,670,707.33 aggregate principal amount of the Issuer's 8.5% Senior Convertible Notes, which are convertible into 20,133,410 shares of Class A Common Stock upon the satisfaction of certain conditions, which have not been satisfied.
