ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

The Board of Directors of Delphi Corporation (“Delphi”) has accepted the resignation of board member Shoichiro Irimajiri, Chairman of Asahi Tech, an affiliate of Asahi Denso Co., Ltd and manufacturer of key set parts for ignitions, tanks and locks, and Director of Shoichiro Irimajiri, Inc., a consulting firm. Mr. Irimajiri retires from Delphi’s Board of Directors after many years of distinguished service since Delphi’s spin-off from General Motors Corporation in 1999. Mr. Irimajiri’s resignation is not as a result of a disagreement with Delphi or with any of its operations, policies or practices.
