Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer
of Listing.
On September 14, 2007, Dell received a NASDAQ Staff Determination letter stating that the company
is not in compliance with NASDAQ Marketplace Rule 4310(c)(14) because it had not timely filed its
Quarterly Report on Form 10-Q for the period ended August 3, 2007. A copy of the press release
issued on September 17, announcing the companys receipt of this letter, is attached as Exhibit
99.1 and incorporated herein by reference.
