(1) | Represents the vesting and settlement of performance-based vesting restricted stock units ("PSUs") granted by the Issuer on February 9, 2015, under the Issuer's 2013 Omnibus Equity Award Plan, as amended. Upon vesting, each PSU is settled in a share of the Issuer's Class A Common Stock. |
(2) | Represents shares of Class A Common Stock withheld by the Issuer to cover tax withholding obligations upon the vesting of PSUs. |
(3) | Pursuant to the terms of the Exchange Agreement dated as of April 9, 2013, a holder may exchange all or a portion of such holder's Common Partnership Units ("New TMM Units") (along with an equal number of shares of the Issuer's Class B Common Stock) at any time for shares of Class A Common Stock of the Issuer on a one-for-one basis. |
