ITEM 12. RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On October 1, 2003, Thor Industries, Inc. (the "Company")
issued a press release regarding its financial results for the fourth quarter
and 12 months ended July 31, 2003. A copy of the Company's press release is
attached hereto as Exhibit 99.1 and is incorporated herein by reference.
