ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION
Citizens & Northern Corporation announced the unaudited, consolidated financial
results for Citizens & Northern Corporation and subsidiaries for the six-month
and three-month periods ended June 30, 2005. On July 12, 2005, Citizens &
Northern Corporation issued a press release titled "C&N Announces June 30, 2005
Unaudited Financial Results," a copy of which is filed as Exhibit 99.1 to this
Current Report on Form 8-K and is incorporated herein by reference. Also,
Citizens & Northern Corporation's "Quarterly Report," a report that includes
unaudited financial information, will be mailed to shareholders on or about July
20, 2005. A copy of the Quarterly Report is filed as Exhibit 99.2 to this
