Item 8.01 Other Events

     On March 10, 2009, Lime Energy Co. issued a press release announcing its intent to divest its Energy Technology segment comprised of the eMAC and uMAC proprietary products and that it had retained the investment banking firm of William Blair & Co. to assist with the divestiture. A copy of the press release is attached as Exhibit 99.1.
