On August 16, 2016, Barnes & Noble, Inc. (the “Company”) announced the departure of its Chief Executive Officer, Ronald D. Boire (the “Press Release”).  Pursuant to his employment agreement, Mr. Boire is deemed to have resigned from the Company’s Board of Directors as a result of his departure.
 
A copy of the Press Release is attached hereto as Exhibit 99.1.
