Item 12. Results of Operations and Financial Condition.

        On August 2, 2004, Merit Medical Systems, Inc. ("Merit") issued a press release announcing it has signed a supplier agreement with Novation, the supply company of VHA Inc. and the University HealthSystem Consortium.
