Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 3, 2014, Brett Brewer, Blair Lambert and Seth Johnson were appointed to the board of directors of bebe stores, inc. (the “Company”). The Board determined that each of these individuals meets the Nasdaq and Company independence requirements and that there are no transactions between these individuals and the Company that would require disclosure under Item 404(a) of Regulation S-K. These appointments followed the resignation from the Company’s board of directors of Caden Wang, Barbara Bass and Cynthia Cohen on July 2, 2014.
